1. Services Overview

Symbolic Health provides AI-powered tools that assist skilled nursing facilities (SNFs), physicians, and healthcare staff with documentation, triage, coordination, and communication workflows. Our Services include automated note generation (e.g., SBAR, shift notes), care coordination summaries, and EMR-integrated support tools.

2. Eligibility and Authorized Use

You may use the Services only if:

• You are at least 18 years old and authorized by your healthcare organization
• You comply with all applicable laws, regulations, and privacy obligations (including HIPAA)
• You do not use the Services for any unlawful or unauthorized purpose

You are responsible for maintaining the confidentiality of your account credentials and any activity under your account.

3. Protected Health Information (PHI)

Symbolic Health may process Protected Health Information (PHI) as a Business Associate under HIPAA, solely on behalf of and under instructions from covered entities (e.g., SNFs, medical groups). We implement safeguards to protect PHI and only use it to deliver the contracted Services.

Use of the Services for direct patient care must comply with all applicable health information privacy laws.

4. Data Ownership

• You own your data. All clinical notes, patient records, and PHI remain the property of the healthcare provider or facility.
• We do not sell your data.
• De-identified Data: We may use de-identified data (per HIPAA Safe Harbor or Expert Determination standards) for research, product improvement, or analytics.

5. Service Limitations and Availability

We strive to ensure high availability but do not guarantee uninterrupted access. Symbolic Health is not responsible for outages, delays, or disruptions caused by:

• Third-party systems (e.g., EMRs, internet providers)
• Scheduled maintenance or updates
• Force majeure events

6. Acceptable Use

You agree not to:

• Use the Services to violate HIPAA, state laws, or any applicable privacy regulations
• Attempt to access or extract data you are not authorized to view
• Reverse-engineer, tamper with, or disrupt our systems or models
• Introduce malware or unauthorized software
• Misrepresent AI-generated output as clinically reviewed if not yet approved by a licensed provider

7. Disclaimers

The Services are provided "as is" without warranties of any kind. While Symbolic Health strives to support clinical workflows, we do not practice medicine and are not responsible for clinical decisions or outcomes.

All clinical use of outputs generated by Symbolic Health must be reviewed and approved by a licensed healthcare provider.

8. Limitation of Liability

To the maximum extent permitted by law, Symbolic Health shall not be liable for:

• Indirect, incidental, or consequential damages
• Loss of data, business, or profits
• Errors in clinical documentation caused by improper use or failure to review AI-generated content

Total liability under these Terms shall not exceed the amount paid for Services in the past 12 months.

9. Termination

We may suspend or terminate your access if:

• You breach these Terms
• Required by legal or regulatory reasons
• Our agreement with your facility ends

You may also terminate at any time by ceasing use and notifying us.

10. Modifications

We may update these Terms from time to time. If we make material changes, we'll notify you via email or through your organization. Continued use after changes go into effect constitutes acceptance.

11. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict of law principles.
